General Assemblies, Voting & Governance

CoopPilot digitizes the entire lifecycle of General Assemblies (Generalversammlung / Jahreshauptversammlung).

1. Creating & Hosting General Assemblies​

  1. Navigate to Assemblies and click Create Assembly.
  2. Set Assembly Title, Date/Time, Location, and Meeting Mode (In-Person, Virtual, or Hybrid).
  3. Build the formal Meeting Agenda (e.g. Board Report, Financial Statement Approval, Discharge of Board).
  4. Issue legal invitations and digital invitation notices to all registered members.

2. Live Assembly Polls & Real-Time Voting​

During active assembly sessions, Coop-Admins manage digital polling:

  • Launch Resolution Polls: Open voting windows for specific agenda resolutions.
  • Voting Power Enforcement: System automatically enforces 1-Member-1-Vote (Kopfstimmrecht) or statutory weighted votes.
  • Real-Time Quorum Tracking: Live dashboard displays total voting members present (in person, online, or via proxy).

3. Official Meeting Minutes (Niederschrift)​

Pursuant to German cooperative law, official minutes of all assembly decisions must be documented:

  1. After votes conclude, click Generate Niederschrift.
  2. The system auto-compiles resolution titles, total votes in favor, votes against, abstentions, quorum status, and attendee lists.
  3. Export the formatted PDF report for formal signatures by the Assembly Chairman and Secretary.

4. Proxy Management (Stimmrechtsübertragung)​

Coop-Admins manage member proxy representations:

  • Members who cannot attend submit proxy transfer requests assigning their vote to another registered member.
  • Admins verify proxy authorization under Assemblies > Proxy Registry.
  • During live polling, assigned proxy holders receive multi-vote ballot interfaces representing both their own vote and their delegated proxies.
